Legal Question in Business Law in New York
Firing a LLC member
I have recently been fired from my position as a manager of a LLC. I am a member(33 1/3)and have been accused of stealing monies for personal use. The monies the two other members are referring to were for health insurance (made out health co.)paying total of $260 a month and I paid the$590 balance which was not a problem until I confronted the other two members of having an affair. They also are trying to squeeze me out by calling a capital call that requires a large sum of money that they know I don't have. One partner made a start up loan to the company and told me when I make a large loan I can see the books. I started and worked hard at making this business work. I was the only one who knew about running a health club. Can it be stealing, can they ask for my keys and vote me out if I don't make the capital call?

Everything depends on your written agreement. If you have no written agreement, you then look to the LLC laws governing rights of members. I would be happy to discuss this matter with you further. Feel free to call.
