Incorporation to do business in South America

Is it better to incorporate a business in Fla vs NY, if I want to do business with companies in the Caribbean, Latin and South America?

And in general is one state better than another for incorporation, if I want to do business (importing gds) from overseas?

You should speak with an attorney prior to forming a business, so that you can make sure you choose the best business entity for your needs. I would need to speak with you in order to determine if Florida or New York is a better state to form in, because the answer changes depending on your plans. There are a number of factors that need to be considered when selecting a state to form a business in, including which state will you be conducting business in (e.g., which state you have your office in, etc). Mr. Hoyt is quite correct. You need to sit down with your attorney and form a plan specific to you.

Depending on your business plan, it may be advantageous to you to form your business in the state in which you are physically located, but that is a matter that has to get fully fleshed out with your lawyer.
