Legal Question in Business Law in New York

Non Profit Organization Board Meetings

I am a volunteer for a non profit organization. We have Monthly Board Meetings. Once for just the board and once for the parents and board. We have alot of people show up for the regular board meetings and cause disruption and no business is ever acomplished. My question is: Is it legal to hold priviate board meetings and not allow outside people as long as we have scheduled general meetings at another day of the month? They (the board) say they fallow Roberts Rules. I'm not sure what that means. Thanks for your time and any advise you can give me.

I received your post on 4-3-2000.

Robert's Rules is nothing more than a procedural guide to the conduct of meetings. That's it. The rules were created after the Civil War by Henry Roberts, after whom they were named.

In any event, it depends on what the organizational by-laws/constitution state.

Additionally, your question states that parents are involved. It is possible that the state's Open Meeting Law also applies.

Good Luck
