Legal Question in Business Law in New York
Can a NYS 501c3 non for profit Board meet and vote to dissolve the corporation? Our organization's by-laws give the Board the sole power to make policy. These by-laws were approved by the State of NY.

An official meeting with vote of 2/3 of the board is the basic process. NPC Article 10 describes the Non-Judicial Dissolution process for a Not for Profit as well as what steps/voting rules are required to authorize and certify the dissolution. You can find those sections at the link below.
