what is the process of converting an LLC into a corporation?

Some states (like Delaware) have a formal statutory process allowing an LLC to convert to a corporation. New York, however, does not have such formal process in place. To achieve a "conversion" an LLC can either merge into a corporation or be dissolved and a new corporation formed. Either option presents business and tax issues and requires paperwork so the real question is why convert?
I suggest you consult this issue with an attorney who could save you a whole lot of money and time.
