Legal Question in Business Law in New York

Real Estate Business

My family is a part owner of a real estate business but the person who ownes the other half of the business owns the rights to NYS for this particular chain. He wants to cut us out of the business that we have helped to build without buying us out or giving us anything. I do not know what rights we have. Please help!

There is a great deal of information that you are not discussing. For example, how is the business structured, a corporation perhaps? Is there a shareholders' agreement? What are the duties of the shareholders? What "rights" does the other partner own?

You are right that the other partner cannot just cut you out. However, without more information, a meaningful response is not possible.

I was going to type the same response as Mr. Silber. The corporate structure is the basic starting point, and any agreements between shareholders, partners or members would be next.

Perhaps re-post your question. Please also explain what you mean by the other owner owns the rights to NYS for this particular chain. If you are saying that the portion of the business that operates in NYS is separately incorporated and wholly owned by the other owner, then you might indeed have a very tricky situation.
