Legal Question in Business Law in New York

s corporation share transfer registration

I was a partner in an s corporation that is incorprated in Deleware. I have transferred my shares to my partner as I am no longer involved in the business. Is there someplace that we can have this recognized/registered by the state or other legal entity?

Social security (for a personal matter) is requesting something that certifies this share transfer (whick occurred in 2008) from a government or court. I have no idea where to get this. I live in New york and most of the business was conducted out of New Jersey. Any advice would be welcome

Re: s corporation share transfer registration

Transfer of corporate shares generally involves a TRANSFER TAX (it's more than just handing over the shares to your ex-business partner). Your receipt from paying that transfer tax should be sufficient.

If you didn't pay the transfer tax, you need to get ahold of the corporate registrar in Delaware (where the sub-S corp is incorporated) and ask the procedure for transferring shares. They'll be more than happy to inform you.
