Starting a one-person LLC?

Hi,

I'm a software developer looking to start create an LLC for myself. I do a lot of contract work and want some legal protection.

1) Can I form a one person LLC? I'm in New York state.

2) If I want to dissolve the LLC at some point in the future, is it a difficult thing to do?

2. Very easy.

Yes, one person LLCs are permitted.

No, dissolution isn't difficult - assuming your corporate taxes remain paid.

In answer to your questions,

1. Yes, one member LLC is now permitted in NY.

2. Not particularly difficult to dissolve, if your LLC does not have any unpaid tax liability.

Keep in mind that to avail yourself of legal protection afforded by any type of legal entity, you must follow the formalities prescribed by the relevant law in conducting business. LLCs have fewer formal requirements for their maintenance than corporations but these must still be followed.
