Subject: can a dissolved corporation be supoened

A dissolved corporation receiving a supoena...must we honor it, a supplier is claiming we owe him money ..he has retained a lawyer....we are not liable but why should I have to represent a dissolved corporation created and dissolved in NY...appreciate your help.

answer by providing a copy of the dissolution certificate. The corporate does not exist therefore it cannot be subpoenad. Its principals continue to exist and they can be subpoenaed to discuss the operations of the defunct entity (to see if any violations of the BCL occurred that might allow piercing of the corporate veil).
