Legal Question in Intellectual Property in New York

Web page copyright

I want to create a web business based on website i saw. I hired a company to the make the ''clone'' of site, meaning i want same design and same functionility but programmed from start by every letter.

My question is, how do i know if i am breaking any copyrights law by publishing this kind of web. The site will be completly written by the programers and designers, nothing will be stolen(source code) from site i saw. How can i be sure if i crossed a line from legal to ilegal, or how deep can my site be comparing it to one i saw.

Since i dont have much expiriance in web design, how can i insure myself that company i hired didnt actualy steal something from other site but telling me that is done by them in every letter.

You're right to have concerns, and should be worrying not just about potential copyright claims but possible trademark violation claims as well. I'd recommend a multi-layered approach, including careful drafting of your contract with the design firm (with them indemnifying against IP claims) and also having the finished product reviewed by experienced intellectual property counsel. The cost of the review, obviously, is far less than the cost of a potential claim.
