Non Reporting Company
I'm currently consulting a public oil and gas company. They are non reporting on the pinks. They have never registered shares under the 33 act nor filed with the sec. They currently have a reg d exemption.
Question
I want them to start reporting and register shares. What are the necessary steps for a non reporting co to report and stay on the pinks until they list on a major exchange?
The company is also issuing shares to certain individuals
How do they go about attaching a legend on the certificate?

They would need to file a Form 10-SB with the Securities and Exchange Commission. We would be happy to speak with you and advise them on the same. Are they financials audited for the past few years etc.? Please contact me so we can discuss.
