Legal Question in International Law in Nigeria
Is it possible to sue a company for breach of contract in a country other then the country of registration of the company
1 Answer from Attorneys
Yes it is very possible if the contract in question has a jurisdiction or forum selection clause and such clause provides that the party suing for a breach of the contract must do so in a particular court in a particular country that is not the country of registration of the company breaching the contract.
Where the contract contains no express provision for jurisdiction, the general rule in Nigeria is that a breach of contract should be commenced in either jurisdiction/judicial division; where the contract was consummated, where the subject matter of the contract is, or where the party breaching the contract resides (or has its registered office).
I hope this helps.
