I am an equal partner and vice president of a small publishing company. May I release an author from his contract without the president's approval?

What does the bylaws/operating agreement say about the ability of one officer of a company to make binding decisions on behalf of the company? Who has to vote on any decisions?

If the bylaws/operating agreement provides that an officer can make binding decisions on his own, then yes. If decisions must be made by any two officers, then who is the secretary/treasurer? Can he/she vote? There has to be someone other than the president who can break any ties. If not, then you will have to get approval.
