Hi folks,

As an independent contractor in Germany (I do have an own company in the telecommunications market) I do have an offer from an US company (university, Inc.) to write them some software code for Windows95 computers here locally in Germany. The code which I do have to write is not a kind of high-tech software but I it will be starting point for a future project when I will work in the US (in three months) for the same company. They have proposed an Consultant Agreement which includes an paragraph about the liability of the work: All of Consultant's activities will be at his own risk and Consultant is hereby given notice of his responsibility for arrangements to guard against physical, financial, and other risks, as appropriate. ---end of excerpt --- What do you think? Am I personally liable if something happens with the software to the orderer? Thanks!

Software Contract for Independent Contractor

An attorney would have to read the entire contract to give you a good answer to your question, but it sounds pretty one-sided to me. Yes, I think you could possibly be at great personal risk. I don't like how it sounds at all.
