Legal Question in Intellectual Property in North Carolina

Fan Site Images

Along with a few others, I run a fan site for a pop culture medium, which is image heavy. The images are scans from the medium itself, but have been manipulated - cropped, re-sized and even fixed on some occasions. All have been altered by me and my associates on some level. While no legal agreement exists between us and the source corporation, they are aware of the site and approve in principle.

Another site has taken some of these images (instead of re-creating themselves) and have placed them on their site, slightly altered but still obviously taken from ours. A contact has been made to them, but they refuse to remove the images, telling us to contact their lawyers.

What legal right do we have for our intellectual work on the images, seeing as they are based from a third party, and what cease and desist actions do we have a right to take?

This is a billable question, and I'd need to see the site and agreement with source corp to advise you.Does the FAN Site sell access or make any $ from ads etc.?
