Legal Question in Intellectual Property in North Carolina

RE INTELLECTUAL PROPERTY; specifically as author of an e-book/study guides instructing a way to pass a difficult exam to obtain a license to practice nationally. Excellent success record. The Method has been trademarked. Another e-business wants to incorporate the material into a larger program of subscription based coaching and pay me a % of the subscription fees. How do I create a document that allows this and protects me?
