What does a foreign company need to do to incorporate in the USA?

Each state has different rules. Generally you will need to get certified copies of the articles of incorporation in the home country and register as a foreign corporation in each state you want to do business, appointing an agent for service of process in that state.

In some states you may need to provide further information about the owners and directors of the foreign company.

You don't need to start a separate corporation unless you want to.

It is typically a relatively painless process and will take one week to two months, depending on the state.

If you are investing any money in the US, you may also need to file certain reports with the US government.
