Exemption to securities registration

I own a real estate rehabilitation LLC. We are considering selling limited partnerships to private investors. The duration and performance of the limited partnership is related to a specific property.

We want to avoid registration with the SEC for the legal hassles and the paperwork for now.

Can someone point us to the exemption statues for securities registration?

There are a number of private placement exemptions that you may be able to rely on under the Securities Act of 1933, as amended. It all depends on how you will be making offers and sales and the nature of your investors. You also have to comply with the relevant state securities laws with respect to each state wherein you will be making offers and sales.

Giving citations without having all of the facts would not fruitful but for starters you could look at Regulation D under the Securities Act of 1933, as amended.
