ca you tell me which ohio state form for dissolution of corporation i need to use to dissolve a two partner s-corp.?

Dissolving a corporation is not as simple as mailing in one form. I suggest you contact an attorney to assist you. You need to notify or get releases from the various taxing authorities, file a plan of dissolution with the IRS, adopt minutes, publish the dissolution, notify creditors, etc. Form 561 is the Ohio form. Go to http://www.state.oh.us/sos/aspfiles/indexmain.asp to get the form.
