I assume here you are talking about a limited liability company (LLC). An operating agreement for an LLC sets out the structure of the company. There are items that are required to be in an operating agreement, such as the business purpose of the LLC and whether the company will be member or manager-run. If you have any familiarity with corporations, an operating agreement is the approximate equivalent of articles of incorporation.

You can find examples of operating agreements online, but it is best to have an attorney help you set up the LLC and articles of incorporation to ensure you follow all the necessary guidelines and requirements under state law.
