Legal Question in Real Estate Law in Ohio
Corp. merger with an L.L.C.
I merged a corp. for profit with an LLC. The LLC is the surviving entity.
The Corp. owns two pieces of real estate. Do I need to do title transfers on the properties before I liquidate them?

Dear Reader:
I believe you may easily liquidate the property received into the LLC from the corporation, by a formal, written declaration of the LLC, signed by the Managing Member, describing the necessity of such liquidation and authorizing same. This document should be appended to the Quitclaim Deed or other deed to provide a legal chain of title.
Good luck.
