My partner wants me to buy him out and date the bill of sale January 2009 is this legal or fraud?

Yes. It is not legally or ethically appropriate to back-date a transaction, particularly, if money is being exchanged between parties. An IRS audit may also become an issue. Secondly, we recommend notary public to witness this sale along with his or her signature to make sure the dates match. Other witnesses are also recommended to assure the sale is legally executed. And, if a legal, general partnership or limited liability partnership (LLP) is being dissolved make sure you use the proper paperwork.
