Personal Liability Corperate lease aggrement

I had a sub chapter s corp in oklahoma. I signed a lease contract with a sign company. the corp is no longer in good standing, it went belly up. in the lease aggrement there was a personal liabilty clause. the agreement had three options for the type of business sole, partner, or Corp. it was marked corp. the lease is made out to the corp, but now the lease company is coming after me for personal liabilty.

You should contact an attorney to review the lease agreement to determine whether you may have personal contractual liability for the balance of the lease.

Generally, if you have operated the corporation in compliance with corporate laws, and you clearly signed the lease contract in your capacity as an officer of the corporation, there should not be personal liability. There may be other facts and cirsumstances that could create personal liability, which would need to be examined.
