Unwanted Agreement

A few months ago I contacted through the internet a company that could build something for a project that I'm developing. They owner told me that he could buid the product in aprox. 6 weeks, however I had to wait for 5 months for it. The day before I was supposed to receive the finished product, the shop owner took out an agreement contract for me to sign it, but since we started business he didn't tell me anything about this contract. He asked me to sign it and I refused to sign it because the ''agreement contract'' only benefits him. So he said that either I signed it or there was no deal. After all those months waiting for the product, I spent money traveling to Oklamhoma which is very far from where I live and also paying for a hotel and everything else, I had to leave with my hands empty leaving him with many things that belong to me. What do you think I should do? How can I solve the problem?

There is a lot wrong here. And, there are also many questions to be answered before to provide sufficient resolution to this problem.

First of all, did you do any research on this person or company before relinquishing your product to the person over the internet?

Secondly, did you take all necessary action to protect the product before releasing it to a third party?

Did you sign a release agreement that included a conflict of interest or not to disclose, or trade secret statement?

Were you doing business as a person or company at the time you relinquished this information.

Was the person on the internet gaining control of your product as as an individual or company and this he create a business as a result of this control and possession of your product?

Was the product legally registered copywrited and/or protected as proprietary or intellectual prior to relinquish control to the third party. If not, did you include a statement to this affect on the product itself?

Either way, is recommended that you do not release this property or sign any contract that you do not agree with particularly if it is (1) contrary to your original agreement (2)is altered after your agreement (3)is not fully protecting interest as owner, inventor or originator of the product or should only require a release of your product and a contract is not requested or negotiated to include the interest of the holder.

This behavior is illegal and unethical on the part of the individual in possession of your product and it is possible that he/she has malicious intent.
