Corporation Sole

Hello,

I was wondering what was involved with applying for a corporation sole status. What are the personal qualifications required and what are the business and income reporting requirements?

Establishing a domestic corporation in Oregon is realtively simple. Go to www. filinginoregon.com. Click on corporate divsion and scroll down to articles of incorporation. Select the appropriate type of corporation for you probably a business corporation as opposed to a professional corporation. Complete the form and mail it to the secretary of state along with the filing fee ($20.00) There are no personal qualifications other than your business avtivity has to be legal. You will also want to draft by-laws but these do not have to be filed and they are for interanl guidance. Corporate laws do not require any particular accounting practices, but for good business management and tax compliance you will want to consult with a CPA or tax attorney. The designation of S corp or C corp are IRS designation that you can elect but have no particular significance in the State incorporation procedure. You can probably incorporate without the assistance of an attorney, but there are many advantages to consulting with an attorney.
