dissolving a corporation
My husband & I have a company that is incorporated.We have large tax debt with the IRS and the State of Oregon.IRS agent has advised me to dissolve the corporation which will get us out from under this huge debt.My question is, what about the debt we owe to the state?Since there will be almost no assets for them to get what happens to that debt?

You need to hire a tax attorney or at least an accountant experienced in tax matters. There are various scenarios in which IRS and the Oregon Dept of Revenue can attach assets that are owned by the individual owners of the delinquent corporation. I do not know the law in this area.
