Partnership

I am trying to dissolve my name out of a partnership that I was in 2 months ago. It was a 50/50 partnership, LLC. I had my lawer do what he could, but my partner had a ccb#. Now I have all the mail coming to my house and bills are racking up and I just want to make sure that I am not going to be harmed down the road for these actions. I can't get a hold of this guy to let him know what is going on. He is already in a lot of legality trouble. So he is running from everything that involves bills. Can you help me????? I am in Oregon. I just want to dissolve the whole business, can I do this??

Cleaning up this situation takes a fair bit of work.

ORS 63.621(3) states that "A limited liability company is dissolved and its affairs shall be wound up upon the first to occur of the following... by the vote or such other action of the members as provided in the articles of organization or any operating agreement or, if neither the articles of organization nor any operating agreement so provides, by the consent of all the members.

I'm guessing that you didn't have an Operating Agreement, and you may not have the other Member's consent, so to dissolve the LLC, you will need to do by judicial order, which will require you to file a court case.
