Conveyance of Corporate Assets
My husband and I are 50% owners of a Corporation, a daycare. Some problems arose between us and the other husband and wife owners. She had the voting shares and terminated my employment and now I have found out that they form another
separate corporation and are doing a d/b/a with the daycare. I have checked the state corporation site and called them, they informed me that she cannot do that but couldn't give me anymore help. I'm not getting any money from the corporation at all, nor have I any knowledge of where the money is going or how it is running. What should I do?

The question that you ask is difficult to answer without a complete review of all your corporate records. I would consult legal counsel with the view of filing an injunction to prevent them from operating a different legal entity. Shareholders and corporatte officers are required to have a duty of loyalty and should not be allowed to take advantage in the way you describe. If I can be of any assistence please let me know.
