Legal Question in Business Law in Pennsylvania

Fictious Name Liability and Tax Status

My LLC is expanding our business, and is going to file for a fictious name for this new company in which the LLC will operate.

Will this new business have the same legal liabilty and tax benefits as the LLC?

..also, I was told and wanted to confirm, that though the new business activity is not listed on our statement of purpose, we don't need to ammend them.

Thank you

Re: Fictious Name Liability and Tax Status

Your LLC can file a fictitious name and you will have the protection of an LLC. No amendment is necessary to change the purpose.

Re: Fictious Name Liability and Tax Status

It depends. What do you mean that your LLC is expanding? In most instances a business needs to "qualify in each statutory jurisdiction in which it does business. A fictitious name filing is only necessary if a business (or person operating as a business) is operating that business under something other than it's legal name.

You r questions are very broad and simply can't be reasonably answered with the information provided. You need competent counsel to guide you on these matters and to answer these questions as they apply to your particular situation.

I would be pleased to meet with you to discuss these and other legal matters. You may arrange an appointment by contacting me.
