Re: Firing a partner of s corp

You asked about governance of an S corp.

This question simply cannot be accurately answered in the vacuum of this forum. S corp.s are a particular type of animal that exist under both state and federal law. The governance of the entity must be in compliance with tax law, state law and precedential authority of the state of creation. If this is a PA entity then certain actions will have different parameters than if it is a Delaware entity.

In short the situation you describe is unlikely, but that's not accurate without much more information.

You should contact me to arrange a meeting so that we discuss the additional questions about this matter.

Regards,

Roger
