Forming an S-Corp

I am considering changing my business entity from a sole proprietorship to an S-Corp. Many on-line services offer to make these filings including bylaws, name search, expidited processing, etc..., at relatively modest price. What are reasons why it is better to have a face to face with an attorney, pay several times as much, and wait three four times as long to complete the process. I'm not forming a fortune 500 company here, merely a 4 person operation?

Are you certain you want an S-Corp and not an LLC? Are you satisfied that there are no unique business structure issues and boilerplate Bylaws will be appropriate? If not, an attorney can advise you on the pros and cons about different types of business organization and make sure everything is done correctly, now and in the future, so you get the protections afforded by the corporate forms.
