Limited Liability partnership

Can you be held to be a member of a limited liability partnership if you have never signed an agreement or any other LLP document, have never performed work for the company, have not recieved any consideration or performed an exchange of services.

I have discussed becoming a partner in an LLP, but have decided against it. Partners are claiming I have verbally accepted, but I have not. I have met with them to discuss potential business. Their company has very limited business and would be dependent on me to bring in the lions share. I am currently employed elsewhere.

I believe this is being used in an attempt to enjoin me from working as a consultant for my current employer in the future.

Partnerships can be created verbally. The answer to your question depends on the circumstances of your particaulr matter however. Generally speaking, partnerships are usually governed by a written document, although this is not always the case.
