Liquidation of corp/bookkeeper

Corp of 4 phys being liquidated...not friendly. I am the bookkeeper and at this point follow direction from Practice Administrator. there are questions about things being paid and when. Owe approx. 500,000. Cash coming in very slow. working from home at this point. lawyers involved for all phys. phys taking a very inactive role even though lawyers are involved. who's advice should I follow? Can I be held liable for anything?

Whether you are a liable depends on your exact relationship with the dissolving corporation. And regardless of your relationship, you are liable for any gross negligence that you commit. (Gross negligence means, you knew better, but you acted anyway.)

As to whose advice should you follow, that also depends on your exact relationship with the corporation.

It really can't harm you to talk with an attorney who has no connection with that corporation. I have seen some court rulings where the book-keeper was held liable for failing to pay certain government taxes, even though the corporation told him not to pay the taxes. That ruling may not apply to you; it depends of certain facts. You should talk to a lawyer about your specific situation.

Remember that the corporation's lawyers do not represent you. They represent the corporation and will only do what is best for the corporation, even if that harms you.
