signing an agreement electronically

I am a consultant who owns a proprietary training progrm. I have agreed to train and then certify consultants in another consulting firm in an another country in that method. We have agreed over the phone to terms that I outlined in a memorandum. How can we formalize the terms in that memo with electronic signatures?

The first consideration is that the other country in which the consultants reside may not recognize electronic signatures as being effective. Your safer bet is to have handwritten signatures.

To "formalize" the terms, the memorandum must be sufficient to establish an actual contract between the parties, and there must be a sufficient nexus between the subsequent signatures and the terms of your memorandum.

If you are providing a training program that consists of your intellectual property, I would be wary to allow usage of it, especially outside of the U.S., without robust terms and conditions that effectively protect your proprietary material. Simply executing on a memorandum probably will not provide you with the protection you need.
