Legal Question in Civil Litigation in Pennsylvania
Legality of a signed contract
Can 2 members of a swim team Board hire and sign a new head coach to a contract without the support of all the Board members. There should be 5 members of the Board. One voted ''no'', the present Head coach did not get a vote, and the 3rd Board position was not filled at the time. So this was done with a 2:1 vote of the present Board, and members of the club had no idea this was going to happen and were only informed after the contract was signed. Is this legal?

Re: Legality of a signed contract
Since you are referring to a Board, I'm assuming that this is set up as a non-profit corporation. If that is the case, the corporate charter should govern.
