Non Compete
Me and a friend recently opened up a
medical supply business where we
both were minority partners. The
majority owner and president, made
my friend sign a non-compete but
not the 1099 for employment. The
company is not viable and he and I
want out. Please advise if the non-
compete is valid in absence of a 1099
contract of employment.

Generally speaking, enforcement of the noncompete agreement will have nothing to do with the existence of a 1099 form. Rather, noncompete enforcement depends on a number of factors, including what the employer is seeking to protect, the legitimacy of that need and the scope of protection sought.
