When creating a website agreement, does it need to conform to the laws or format of a particular state? If so, is it based on where the server is located or where the business is registered? I've registered the business in Delaware and I'm hiring a freelance web developer from India. Thanks for your help.

You probably don't realize how many issues are raised by your question, which is why my clients pay me to draft and maintain their TOS. If you're in TN, then make it TN throughout.

Make sure that your jurisdiction is listed as where you can bring an action against the other parties if there is a dispute.
