Legal Question in Business Law in Texas

I am on the board of a non-profit sporting organization. The current president took it upon himself to enquire to our governing body about what he should do with our head coach whom he felt acted unprofessionally when dealing with an athlete. (Coach had sit down meeting with athlete and ask another board member to sit in on it. he also had a meeting with athlete and family and hd the president sit in on it) The president now feels this was not appropriate action by the head coach.. whom we pay randomly every other month. So after going to the governing body he tell the head coach that he has been cited on ttwo warnings and a letter from the president will be coming to him. He believe it is his right as the president to do this, without any input from the rest of the board. The head coach is also on the board.. How should have this been handled.. ?

The immediate question that comes to mind is whether this is a booster club that operates under Texas UIL rules. If so, it has no business dealing with the coach whatsoever.
