Legal Question in Business Law in Texas
Corporate dissolution
We had to close our business last year and are filing a final income tax report for 2004 to the IRS. We have not dissolved the corporation yet but plan to very soon. Do I still need to file a form 966 Corporate disolution or liquidation with my return?

Re: Corporate dissolution
According to Form 966, you are to file within 30 days of adopting a plan to dissolve. If dissolution hasn't been formally adopted, then filing may be premature unless the dissolution has already taken place.
