Corporate Law Question

My husband and I incorporated a business in 1996. To do this, we first opened a DBA in my name. In May 1999, he left my children and I for another woman and now we are divorcing. He has now told me, in court, that he has removed me from the Board of Directors, as well as another member of the Board, and placed his office Secretary and girlfriend, who is also an employee, on the Board of Directors. As I understand the By-laws of Incorporation, a meeting should be called and votes should be cast before any changes can be made. What are my legal rights and the rights of the other Board Member? What are my options?

You certainly have a case against your husband. The case probably wouldn't even make it to court, if his actions were as malevolent as you say they are. I would need to review the articles of incorporation, bylaws, and any other pertinent documents in order to determine what you are entitled to.
