Legal Question in Business Law in Texas
How to disolve a partnerhsip
My wife has a verbal agreement with another lady to go into business together. Assumed name certificate has been filed. Tax certificate number, Phone bill is in both names as well as PO Box. The only liabilities are rent for a suite and the phone bill.
How does my wife resolve these issues, so that she is not liable in the future?
Thank you

Re: How to disolve a partnerhsip
She has to withdraw her name from the Assumed Name Certificate. She has to give notice in writing to all the trade creditors she is aware of. She should give her partner the opportunity to continue the business under the tradename.
Then she and her partner have to add up all the assets and all the liabilities, and divide them up between themselves.
She may have to escrow money to cover the balance of the lease, since she will remain responsible until the lease runs out.
