limited partnership aggrement

What would be a normal fee for attorney to draw up aggrement with 3 partners.also to file with the state.

For a limited partnership with a corporate or LLC limited partner (ie creation of two entities) you are probably looking at about $2,000 to $2,500 including state filing fees. You might be able to save costs by operating as an LLC instead of a limited partnership, however, that decision could have some short term tax consequences.

For a partnership agreement with buy sell provisions among the partners, you are probably looking at between $1,000 and $2,000.

Since a limited partnership has to have an operating partner, either a corporation or an LLC to shield the partners from personal liability, you are looking at the formation of two entities. Both should cost about $3,650 including the filing fees of $750 and $300 for the Ltd and LLC or corp respectively.

Side agreements, such as a buy/sell agreement between owners, usually starts about $750 and goes up with the permutations each of the partners (and their spouses, if married) require.
