Legal Question in Business Law in Texas

I have a small business its a LLC. I have a partner both of us are 50% owners. She been working else where for the last 1 1/2. Now she wants me to pay her a unreasonable amount for her share. She mainly wants to shut me down. Can I start a new comapny doing the same thing and then sign over my shares to her or have someone else start the same business up and work for them? Thanks

Much of the answer to your question depends on what is contained in your operating agreements for the LLC. You should consider having an attorney review any operating agreements so that you have a better idea on how to proceed.

Yes your operating agreement will either cover this or it won't. You probably have various options, but you'd need an attorney to determine what they are and which are probably best for you.
