Legal Question in Business Law in Texas
Registered Company
Owned and operated a retail business for 7 years. Decided to close it. An interested party offered to buy the business but we couldln't come to terms. The last day of business, this party showed up saying she had leased the space, had registered the business name, and intended to open in 2 days in the same location using the same business name. She offered a few thousand dollars if we would leave all furniture/fixtures/inventory. We declined.
She did exactly what she had said, but closed in a year, just recently. She reemerged in a new space using the same business name.
We have continued to use the business name in that we opened on the internet and still do business in the city under the name.
Anything we can do to force her to discontinue using the business name both retail and on her web site?

You may have some unfair business practices claim, or possibly a common law trademark action. How were you using the name originally? Did you have a d/b/a or ?
