Legal Question in Business Law in Texas

remake / resale of equipment

I am designing a product and would like to make sure there are no infringements.

My product A, and product B from a higher end company function the same, but my product A needs to be redesigned to work in certain environments with different software on the PC end.

Since I can't afford the engineering end would I be able to use the circuitry from the other company in my product A and still sell it as mine without any legal issues?

The software and shell of my product will be by my design and production and the circuitry from product B will be purchased legally.

I will be selling this product over the internet, so it won't just be my state.

If possible, please cite location of where I can show the legality of this if I ever need to.

Generally, when you purchase an item you are allowed to "personally" use that item and not "re-sell" it. As for product B and your using it to further product A, you should seek the assistance of a law firm to obtain the required license(s) so as to not get in trouble later down the line. After getting the required permissions, you may potentially be able to get protection through the federal laws by filing the approriate documents with the federal government.
