Legal Question in Business Law in Texas
selling shares
I'm in a LLC with one other person. We both own 50% each. It's not working out. We can't come to terms on anything. I want to buy her out. She won't sell. She made an offer. I then offered to buy her out for the same amount she offered me. She said no. We Do Not have a Operating Agreement. QUESTIONS.. Can I sell my 50% to anyone w/out her consent ? How do I determine the vaule ? She will not let me view the books.

Re: selling shares
Since there's no Operating Agreement you can sell your shares to whomever you want. You may need to hire a lawyer to get access to the books in order to value the business.
