Is the statute of limitations extended if the company accusing me of shoplifting has their lawyer offer a settlement agreement to me less than a week before the 2 years has ended?

Statute of limitations on a criminal case? It would have no effect. (And as best I know, it would not affect a civil case. However, the statute is tolled while charges and / or a civil case is pending.)

You really should call a lawyer about this because there is a great chance that they cannot make either the criminal or civil case against you.
