Legal Question in Investment Law in Texas
I would like to ask you for some advise.
I would like to take my company to private investment through stock distribution. I know people that are ready to invest in my company, however I do not know who to work with that would help me facilitate the stock distribution. I would like to issue stock for investment rather than percentage ownership.
Currently my company is valued around $10MM, our annual sales are around $1.4MM. I am looking to raise $3MM, with a minimum investment of $25m. Do you have any thoughts or suggestions on this?

Yes, my thought and suggestion is to hire an attorney for this. Federal Securities law is complicated, and unless you are willing to know it yourself, you should hire someone who already knows this. I do not know it myself, but I just know it's out there and it can get you into major trouble if you don't comply ("white collar crime").
