Termination of 33.3% shareholder within a corporation

the sole participating officer/shareholder of 8 yrs (33.3%) is terminated. the opposing 2/3rds (non-participants) claim due to non-participation. proven untrue. the 1/3rd is also being refused his fair value of shares and various other property.''several million.'' what recourse does he have?
