drafting resolutions in a corporation

i need to draft a resolution to enable the secretary to vary call over times and venues in a stock exchange i work for without the secretary having to get permission from the committee board as power vests in the committee to vary call over times. i work in the stock exchange as an intern for the legal secretary, and this is my 1st assignment!! trying to do a great job... the member rules vests the power in the committee to vary the times and i need to make aresolution so the secretary can have vested power for only one calender year. HELP! assistance of a sample resolution or wording i should use would be really helpful

If you don't have access to any precedents in your office and assuming that you are in London I would suggest going the Law Society Library and stating with the Encyclopedia of Forms and Precedents. I might have something to help you that I could E-mail you that would be a start but I am not clear exactly what the substance of the Resolution is you are trying to effect.
